TERMS AND CONDITIONS OF AUCTION
Sale Site:
All properties will be sold from the house on
Robinson Street/41 South in Lenox.
Sale Date:
The auction will be conducted on Thursday,
December 2 at 11:00 a.m.
Registration:
Registration will begin at 10:00 a.m. To
register and receive a bidder number, you must show proof of $2,000 in cash,
cashier’s check or certified funds with a bank letter of credit guaranteeing the
balance of a twenty percent (20%) earnest money deposit. NO EXCEPTIONS WILL
BE PERMITTED. A valid form of identification or driver’s license is also
required in order to receive a bidder number.
Terms of Sale:
The successful bidder of each tract of land
must submit a twenty percent (20%) earnest money deposit of the purchase price
on the day of sale with the balance due in thirty (30) days at closing. ($2,000
of the earnest money deposit must be in the form of cash, cashier’s check or
certified funds, which are non-refundable.) A bank letter guaranteeing the
balance of the earnest money deposit is required if made by personal check. NO
FINANCING CONTINGENCY.
Purchase and Sale Agreement:
Each purchaser of a tract of
land will be required to complete and sign a Purchase and Sale Agreement
immediately after the auction.
Financing:
Financing is NOT a contingency of the
sale, and as such the Sellers and Auctioneer recommend that all prospective
bidders know in advance that they are capable of obtaining the necessary
financing to close the transaction. If the purchaser can not purchase the
property because he can not fulfill terms or does not qualify for financing,
purchaser can either close for cash within the contractual time or forfeit its
earnest money.
10% Buyer’s Premium:
A ten percent (10%) buyer’s premium
will be added to the final high bid on each property. The final bid amount plus
the ten percent (10%) buyer’s premium equals the final purchase price. The final
purchase price on land will be determined at closing and will be based on actual
surveyed acres times bid price per acre, plus the ten percent buyer’s premium.
Closing Attorney:
All closings will be conducted at the law
firm of Howard E. McClain, 201 East Fifth Street, Adel, Georgia 31620 (229)
896-7644. The Sellers will be responsible for paying the State of Georgia
transfer tax, preparation of the warranty deed, proration of taxes for 2004, any
back taxes, reasonable title corrective expenses and Auctioneer’s fee (as per
separate agreement). All other closing costs will be the responsibility of the
purchaser and will include but not be limited to purchaser’s closing attorney,
collecting and disbursing of funds at closing and preparation of the closing
statement. Additional closing costs will consist of recording fees, intangible
taxes, title fees, financing expenses, title insurance, appraisals, inspection
reports and survey. Loan closing costs are at the purchaser’s expense if
purchaser chooses to finance the property.
Survey:
Each farm will be surveyed prior to closing by
Carter Surveying, LLC, a Georgia Registered Land Surveyor. (R.L.S. No. 2959) The
cost will be 22 cents per linear foot on all exterior lines and 11 cents per
linear foot on all common lines between the purchasers. The final purchase price
of each tract will be determined by multiplying the high bid per acre by the
number of actual surveyed acres rounded to the nearest one thousandth of an
acre, plus the ten percent buyer’s premium. Boundary lines will be determined by
field survey and may vary from field markers. Acreage and dimensions of the
tracts may vary according to actual survey. Any purchaser wanting lines opened
must pay an additional fee to the surveyor. Cost of survey will be collected at
closing. All expenses incurred by the survey will be paid by the purchaser,
regardless of whether the property sells in tracts, combination of tracts or as
a whole.
Possession of Property:
Possession of the property will be
given at closing subject to any outstanding leases.
Leases:
There are existing cropland leases that will remain
in effect should closings take place prior to any lease end/expiration. No Lease
Prorations.
Confirmation:
Property is selling subject to owner
confirmation.
Agency Disclosure:
The Auctioneer/Realtor is acting as agent
for the Sellers and not as agent for the purchasers.
